Description
• Provide transactional, legal support to the Insurance Services Group (ISG) of Bank of America's Home Loan and Insurance division. ISG manages the Bank's mortgage and credit card protection suite of products and services, and is one of the leading providers of lender-placed insurance.

• Research and provide counsel on state and federal laws, regulations and court rulings, including in the areas of insurance, mortgage lending (e.g. RESPA and TILA), credit cards (e.g. CARD Act, ECOA), advertising, credit reports (e.g. FCRA/FACTA), debt collection (e.g. FDCPA), privacy (e.g. GLB), electronic signatures (e.g. E-SIGN/UETA), intellectual property, contract, finance, telemarketing (e.g. TCPA), licensing and business practices.

• Review and advise on advertising materials, product and service collateral (e.g. terms and conditions), internal communications and training materials.

• Monitor and report on pending legislation or regulatory rulemaking with the potential to impact products, services or operations. Draft and issue responsive comments and/or meet with legislators, regulators and/or quasi-governmental entities on behalf of the Bank and/or ISG where appropriate.

• Structure, draft and negotiate agreements, such as administrative services agreements, reinsurance and related trust agreements, marketing agreements, vendor agreements, electronic data interchange trading partner agreements, powers of attorney and non-disclosure agreements.

• Work with Compliance and Operational Risk partners to assist the business in performing risk analyses, and initiate and/or participate in internal compliance audits.

• Assist the completion of various corporate and licensing transactions and regulatory filings related to areas of responsibility, including entity formations and dissolutions, mergers, acquisitions, license applications, holding company act and other state filings, and conduct due diligence as needed.

• Assist and provide counsel to business units regarding day-to-day operational and process issues, strategies, and development of business initiatives and goals.

• Assist and provide counsel to Claims and business units regarding consumer claims and complaints related to ISG products and services. Coordinate and maintain oversight over related litigation handled by internal litigation team or external counsel.

• Manage outside counsel in a cost effective manner related to litigation or transactional work.

• Assist the Enterprise Regulatory Affairs, Regulatory and Legislative Affairs, Compliance and Operational Risk and Finance groups in regulatory examinations and responses, including market conduct and financial examinations by departments of insurance or federal regulators, as well as targeted exams or other inquiries. Also assist with external financial, accounting and governance audits.

• Conduct training and informational sessions as needed for associates on legal issues affecting products, services and operations, such as key contract provisions, new laws or regulations, recent court decisions, etc.
 
Qualifications


The candidate should possess 7+ years of relevant, in-house and/or law firm experience, with particular focus in insurance regulatory and transactional matters, and should be proficient in legal research and negotiating legal agreements. Must demonstrate an ability to communicate complicated legal issues in a clear and effective manner to business clients and other attorneys, both verbally and in writing. Ability to multi-task and operate using sound business judgment on a day-to-day basis is critical.
