BlackRock Solutions is seeking a transactional attorney with 5 or more years of experience in complex technology licensing and commercial negotiations to support our business. The role will include responsibility for negotiating arrangements with both external clients as well as with strategic technology and market data partners. The attorney will work closely with the BlackRock Solutions leadership team to provide both legal and business guidance in support of business development activities, strategic technology projects and other key initiatives.

Responsibilities:

    * Negotiate agreements for the provision of enterprise trading and risk systems to large financial institutions and support the business development process.Structure, draft and negotiate technology agreements, including business software licenses, services agreements, ASP agreements and telecom agreements.
    * Structure, draft and negotiate market data licenses and redistribution arrangements.Provide legal counsel relating to contract issues on a global basis for technology, market data and other contracts.
    * Work in a fast-paced and business-oriented environment with business development team, technology professionals and other internal business groups throughout BlackRock.

Requirements:

    * JD with a minimum of five years of experience, preferably at a major law firm as well as in-house at a corporate legal department.
    * Sophisticated contracts negotiation and commercial law background, with experience in negotiating complex technology-related transactions.
    * Demonstrated ability to learn business requirements quickly, analyze legal and business risks and propose creative, business-oriented solutions.
    * Ability to interact directly with the company's senior leadership, proposing creative solutions to complex business issues and providing pragmatic risk assessments.Ability to multi-task and manage a large volume of concurrent priorities.

Qualifications

Description

In this role, the individual will be a member of the Siemens Corporation Litigation Group within the Legal Department and will be responsible for litigation, disputes, bankruptcies and related matters for Siemens Medical Solutions USA, Inc., headquartered in Malvern, Pennsylvania. The individual will be the primary liaison with the company’s outside counsel on a diverse range of litigation matters. He or she will be primarily responsible for risk assessment, case strategy, settlement, budgeting, discovery and other typical case management activities, and will as well assist the business in avoiding claims. This individual will also provide litigation-related counseling to others within the organization, including company management.

Responsibilities

Management of a diverse litigation docket, including product liability, commercial and bankruptcy cases;
Representation of the company in mediation of lawsuits and disputes;
Advice and coordination of discovery issues, specifically including third-party subpoenas, and e-discovery;
Investigation, management and resolution of potential contractual disputes;
Training of internal clients in litigation-related matters;
Administration of budgets, reports and related activities;
Travel as necessary, up to 20%.

Qualifications

JD and active bar admission required;
6 to 8+ years of law firm experience, including courtroom, deposition and case management time in both federal and state civil litigation;
