Provide advice in various corporate legal matters, including: all matters relating to securities laws, mergers and acquisitions, corporate governance, private equity, and debt and equity offerings.
Duties:
Perform various aspects of corporate and securities transactional work including:
- Prepare and file various securities filings
- Prepare and negotiate M&A agreements
- Prepare and structure various cross-border corporate transactions
- Formation of business entities (corporations, limited liability companies, and partnerships)
- Organization of corporate records
- Due diligence investigations
- Draft closing documents, financing statements, schedules, resolutions, etc.
- Conduct research concerning corporate matters
Knowledge and Skills:
- Self starting individual that is intellectually curious, has high energy and a high degree of attention to detail
- Established track record of hard work, excellent experience and exceptional reviews
- Exceptional ability to write clear, concise work product and the ability to communicate in an effective, appropriately professional manner with all office personnel, clients, and others
- Must be able to integrate well in a team-oriented environment
- Knowledge of Word, Excel, and PowerPoint
- JD Degree
- One to four years Corporate & Securities experience in a large law firm and/or corporate law department of a publicly listed company
