Role Summary/Purpose

Responsible for providing legal advice, support and business perspective on all aspects of US structured lending business for GE Capital Americas
Essential Responsibilities

    * In coordination with GE Capital COE, provide legal advice, support and business perspective on all aspects of US structured lending business including but not limited to restructuring, workout, litigation, bankruptcy, acquisitions, joint ventures, business development, integrations, operations, employee matters, growth initiatives, corporate governance and customer disputes.
    * Structure, negotiate, and draft agreements, including forbearance and restructuring agreements, loan modification, inter-creditor agreements, credit agreements and agreements with service providers.
    * Participate in the development and implementation of new business and legal processes, or identify and lead corrective action on existing ones, with the goals of simplification and resolving compliance risks.
    * Provide legal advice on regulatory issues/matters facing the business, including bank regulatory issues.
    * Participate in the selection and management of outside counsel.

Qualifications/Requirements

Basic Qualifications:

    * Bachelors Degree, J.D., and licensed to practice in at least one US State
    * Minimum of 8-10 years of legal experience combining corporate legal and private law settings including significant experience with matters pertaining to leasing and lending, litigation, complex restructuring, bankruptcies, commercial transactions and general corporate law matters.
    * Experience in UCC (especially Articles 2, 2A and 9) and credit and collection matters.
    * Established ability to influence actions without direct ledership responsibility for teams or processes with a proven ability to build relationships within a matrixed environment (both cross-functionally and cross-business)
    * Superior communication skills – both written and verbal – with a demonstrated ability to communicate to customers both internal and external to the business.
    * Demonstrated ability to think and lead on a strategic level within an organization
    * Experienced within financial services industry – including an ability to understand all facets of financial services, such as leasing secured lending and asset management. Essential Requirements:

Role Summary/Purpose

The Counsel Risk Management demonstrates accountability for functional, business, and broad company objectives. Essential Responsibilities

    * Provide ongoing legal advice and support principally related to US and international contracting activities, including the drafting, review, and interpretation of commercial standard and non-standard contracts and proposals
    * Provide legal advice on multi-functional teams executing GE's commercial agreements and Six Sigma initiatives for both commercial sales, procurements, and joint ventures

Qualifications/Requirements

    * Juris Doctorate from an accredited law school
    * At least 5 additional years of legal experience
    * At least 2 years of experience in domestic and international contract drafting and negotiations , including experience and familiarity with the Uniform Commercial Code (UCC) and U.N. Convention on Contracts for the International Sale of Goods
    * Member in good standing with the State Bar

In this role, the individual will be a member of the Siemens Corporation Litigation Group within the Legal Department and will be responsible for litigation, disputes, bankruptcies and related matters for Siemens Medical Solutions USA, Inc., headquartered in Malvern, Pennsylvania.
