Role Summary/Purpose Counsel-Compliance and Integrity Programs is responsible to develop and implement the business’ compliance program, including creating and managing risk-assessment processes, conducting investigations and overseeing investigations conducted by members of the Legal team and others, establishing and growing effective relationships with governmental prosecutorial and enforcement agencies, preparing the annual and regional Session D Compliance reviews and other duties to promote the objectives of the business compliance program. Essential Responsibilities - Closely coordinate with business leaders, C&I Policy Owners and Coordinators, and Legal Coordinators to develop action to support compliance strategies and limit compliance risks.- Ensure that business processes are proactively monitored and analyzed to assure compliance capability and reduce potential compliance violations and concerns.- Drive key compliance-related projects from creation through final implementation to ensure success of key objectives.- Maintain and continuously improve compliance measures, dashboards and operating metrics.- Drive compliance communications and guidance to business leaders.- Develop policies and procedures to deter, prevent and detect violations of law and other misconduct and promote ethical practices.- Help implement compliance systems and procedures in collaboration with HR and Legal, including training and education programs.- Ensure that investigations and periodic audits are conducted to monitor the compliance program’s effectiveness and compliance with legal and ethical standards.- Handle assigned commercial/transactional matters. Qualifications/Requirements - Juris Doctorate from an accredited law school.- Member in good standing of a state bar; admission to practice in the State of Kentucky must be accomplished within one year of employment.- Minimum 5 years GE or equivalent external experience planning and conducting investigations, audits and business compliance reviews.- Knowledge and/or experience of compliance issues, such as: remote-site risks, controllership, FCPA, anti-money laundering, privacy and Sarbanes-Oxley.- Proven ability in developing and implementing strategies to accomplish business and compliance program goals.- Strong organizational and project management skills.- Strong oral and written communication skills.- Ability to prioritize and manage effectively multiple tasks and priorities.- Strong process skills.- A work history that affirmatively demonstrates leadership and ability to persuade and push others to deliver on commitments.- Ability to travel as required.- Mastery of business software, e.g., PowerPoint, Excel, Microsoft Word.- Record of dedicated and successful teamwork, excellent interpersonal and diplomatic abilities.
