Job Description | Job Number: 1160725 Date Posted: 26 March 2010 Function: Legal - Capital Markets Business: GE Capital - Americas Career Level: Experienced Location: Norwalk, Connecticut, United States Role Summary/Purpose Responsible for supporting the Business Segment or Function on Capital Markets (defined below) legal issues: (a) with a primary focus on assigned specialty transactions, and (b) on selected functional, project, product, program, litigation management, and strategic issues as directed and under supervision of the managing counsel (Executive Counsel or above). Provides advice and counsel on deal & structuring to business teams on legal issues and acceptable legal/business commercial positions. Essential Responsibilities * Responsible for advising business segments on legal issues related to Capital Markets (which may include investment, management, portfolio administration, and realization of Public or Private Debt or Equity Securities [all classes] * Underwriting, Placement, or Syndication Activities – Debt or Equity; Securitization Activities; Broker-Dealer Activities; Investment Advisor Activities; Trading Activities, and similar and related practice areas). * Assigned responsibilities may apply to any limited subset of Capital Markets activities that are required by hiring business. The attorney retained for such a position would assume a major role in structuring, negotiating, documenting and supervising outside counsel on transactions within her/his assigned specialty area(s). * Supervision and management of outside counsel as needed. * Assist managers in both market and product development. * Assist corporate, personnel, and training with policy compliance. Qualifications/Requirements Basic Qualifications: * Bachelors Degree, JD with 7+ years experience in relevant Capital Markets area(s), based on experience at a large law firm, financial firm, regulatory/governmental agency or corporate legal department. * Strong academic credentials. * Superior analytical ability. * Excellent verbal and written communication skills. * Ability to manage multiple transactions within a high-paced environment, and to prioritize conflicting demands from large and diverse client base. * Ability to function independently and effectively as a member of both business teams and the assigned legal organization.
