Role Summary/Purpose This position will advise on/be responsible for all legal aspects of NBCU’s public/private debt offerings, including advice on compliance w/United States securities laws. Will be involved w/the preparation of periodic SEC reports, offering memorandum & registration statements in connection w/NBCU’s significant private & public bonds, as well as handling matters related to NBCU’s bank debt. Reports to SVP, Corporate Transactions & supports a team of finance/accounting & legal professionals. Essential Responsibilities * Comprehensive knowledge of United States securities laws * Counseling on compliance with securities laws * As part of a team, the preparation of quarterly, annual and other reports required under the Securities laws of the US * Developing and managing periodic reporting processes * Maintaining a robust insider trading prevention policy * As part of a team, preparing debt offering memoranda, registration statements and related agreements for the issuance of debt securities Qualifications/Requirements * JD from top 25 law school and admitted to the practice of law in the United States * Minimum of 7 years law firm experience in advising public companies on all aspects of compliance with Securities and Exchange Commission rules and regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934 * Successful record of preparing complex public and private debt offerings and should have substantial experience advising on and preparing quarterly and annual reports on form 10-Q and 10-KEligibility Requirements: * External applicants are encouraged to submit a resume/CV through gecareers.com to be considered (note job # 1160766). * Must be willing to work in New York, NY * Must be able to travel * Must be willing to take drug test and submit to a background investigation including a credit check * Must be 18 years or greater * Must have unrestricted work authorization to work in the United States * Must be available to work evenings and weekends GE will only employ those who are legally authorized to work.
